THIS AGREEMENT AND COVENANT NOT TO SUE IS MADE AND ENTERED INTO BY AND BETWEEN THE U.S. EPA, THE HOUSING AND RE- DEVELOPMENT AUTHORITY OF THE CITY OF SAINT PAUL, MINNESOTA, AND THE 2356 UNIVERSITY AVENUE LIMITED PARTNERSHIP. THE PURPOSE OF THIS AGREEMENT IS TO SETTLE AND RESOLVE, SUBJECT TO RESERVATIONS AND LIMITATIONS, ANY POTENTIAL LIABILITY OF THE SETTLING RESPONDENTS FOR THE EXISTING CONTAMINATION AT THE PROPERTY WHICH WOULD OTHERWISE RESULT FROM SETTLING RESPONDENTS BECOMING THE OWNERS OF THE PROPERTY. THE ESTIMATED COST FOR IMPLEMENTING THE RAP (RESPONSE ACTION PLAN) IS $112,000.00 SETTLING RESPONDENTS AGREE TO PAY THE SUM OF $7,500 WITHIN 30 DAYS OF THE EFFECTIVE DATE OF THIS AGREEMENT.
