## Abstract

The Commission is publishing its views concerning problematic practices under Regulation S and is requesting comment as to whether Regulation S should be amended to limit its vulnerability to abuse. The Commission will study the comments received in response to this release and will determine whether rulemaking or other action is necessary or appropriate.
