Abstract
The Securities and Exchange Commission (``we'' or ``Commission'') is adopting amendments to Form S-8, related rules under the Securities Act, and Regulations S-K and S-B. Some of the amendments restrict the use of Form S-8 for the offer and sale of securities to consultants and advisors. Other amendments allow the use of Form S-8 for the exercise of stock options by family members of employee optionees.
