The Company is not in compliance with the Rule due to its delay in filing its Form 10-K for the year ended December 31, 2025 (the “Form 10-K”) and Form 10-Q for the quarter ended March 31, 2026 (the “Form 10-Q”\nand, together with the Form 10-K, the “Delinquent Reports”). The Nasdaq notices provided the Company until June 16, 2026 to submit to Nasdaq a plan to regain compliance with the Rule.\n\nFollowing the Company’s timely submission of a compliance plan, Nasdaq informed the Company that it has been granted\nan extension of 180 days from the original due date of the Form 10-K, or until October 12, 2026, to regain compliance with the Rule.\n\nThe Company continues to work diligently to file the Delinquent Reports as promptly as practicable. If the Company is\nunable to regain compliance with the Rule by October 12, 2026, Nasdaq will notify the Company that its common stock will be delisted.
