Abbott’s by-laws previously provided that the Board of Directors consisted of twelve persons.\n\n \n\n \n\n**I****tem\n5.07 — Submission of Matters to a Vote of Security Holders.**\n\n** **\n\nAbbott held its Annual Meeting of Shareholders on April 24, 2026.
