Departure of Directors or Certain Officers; Election of Directors;\nAppointment of Certain Officers; Compensatory Arrangements of Certain Officers.**\n\n \n\nOn May 20, 2026, the Board of Directors (the “**Board**”)\nActivate Energy Acquisition Corp. (the “**Company**”) appointed David Whitby to serve as a director (“**Director**”)\nof the Board, effective immediately.\n\n \n\nDavid Whitby, age 70, is a retired senior executive\nwith experience in the oil and gas industry. Mr. Whitby served as Managing Director of Nido Petroleum Ltd. (ASX: NDO) from 2004 to 2010,\nwhere he helped grow the company from a market capitalization of A$1m to A$600m, transitioning the company from a pure explorer to producer\nin less than 4 years. Mr. Whitby holds a bachelor of engineering degree from the Royal Military College of Canada.\n\n \n\nThere are no arrangements or understandings between\nDavid Whitby and any other persons pursuant to which he was elected as Director of the Company. There are no family relationships between\nDavid Whitby and any other Director or executive officer of the Company and he does not have a direct or indirect material interest in\nany transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K promulgated by the Securities and Exchange Commission."}
