Rausch\nto the Board, with a term beginning on March 1, 2026, and expiring at Ameren's Annual Meeting of Shareholders in 2026. Also effective\nMarch 1, 2026, the Board appointed Mr. Rausch to the Finance Committee and the Nuclear, Operations and Environmental Sustainability Committee\nof the Board. No arrangement or understanding exists between Mr. Rausch and Ameren or, to Ameren's knowledge, any other person or persons\npursuant to which Mr. Rausch was selected as a director. Mr. Rausch will participate in the Company’s standard non-employee director\ncompensation program as more fully described in the Company’s Proxy Statement filed with the Securities and Exchange Commission\non March 25, 2025.\n\n \n\nMr. Rausch served as Executive Vice President and\nChief Nuclear Officer of Tennessee Valley Authority (\"TVA\") from October 2018 to July 2025. TVA is a federally owned electric\nutility corporation serving over 10 million people across the southeastern United States. He previously served as Senior Vice President\nand Chief Nuclear Officer of both Talen Energy Corporation, from June 2015 to September 2018, and PPL Corporation, from June 2009 to June\n2015.\n\n \n\nMr. Rausch had no business relationships with Ameren\nor its subsidiaries in 2025 or to the date hereof in 2026 which are required to be reported under Item 404(a) of the Securities and Exchange\nCommission Regulation S-K."}
