Share Ownership*.”\n\n \n\n- 43 -\n\n \n\n \n\nB.\nRelated Party Transactions\n\n \n\n**FAHL\nRelated Person Transactions**\n\n \n\n**Exclusive\nSupply Agreement**\n\n \n\nPursuant\nto Framework Contract for Delegation of Purchases and Terms of Application, between Forafric Maroc, and company within our group and\nthen a wholly owned subsidiary of Lighthouse Capital, and Millcorp, FAHL is obligated to obtain at least 80% of its annual requirements\nof common wheat, durum wheat, or any other cereal, for the five year period which began on April 1, 2018 and ended on March 31, 2023.\nThe agreement was subsequently extended by three years through March 31, 2026 as agreed upon by the parties. The purchases incurred were\n$38.4 million and $67.0 million, as of December 31, 2025 and 2024, respectively. This agreement was not renewed in March 2026.\n\n \n\n**Other\nRelated Party Transactions**\n\n \n\nThe\nCompany’s amounts due from related parties were $0.9 million and $1.2 million as of December 31, 2025, and 2024.\n\n \n\nThe\nCompany’s loans due to related parties were $2.2 million and $7.7 million as of December 31, 2025, and 2024, respectively.\n\n \n\n**Certain\nTransactions with Millcorp**\n\n** **\n\nOn\nJune 30, 2025, we sold part of our ownership in MDS Mali, MDS BF and MDS Niger for a total consideration of $15.7 million to\nMillcorp. Following the transfers, the Company’s ownership interests in the two majority owned subsidiaries were reduced to\n51%, while the ownership interest in the non-consolidated equity method investee was reduced from 45% to 25%.
