CONTROLS AND PROCEDURES.**\n\n \n\n**Evaluation\nof Disclosure Controls and Procedures**\n\n \n\nWe\nmaintain disclosure controls and procedures that are designed to provide reasonable assurance that material information required to be\ndisclosed in our periodic reports filed under the Exchange Act is recorded, processed, summarized, and reported within the time periods\nspecified in the SEC’s rules and forms and to provide reasonable assurance that such information is accumulated and communicated\nto our management, our chief executive officer and chief financial officer, to allow timely decisions regarding required disclosure.\nWe carried out an evaluation, under the supervision and with the participation of our management, including our principal executive officer\nand principal financial officer, of the effectiveness of the design and operation of our disclosure controls and procedures, as defined\nin Rule 13(a)-15(e) under the Exchange Act. Based on this evaluation, our principal executive officer and principal financial officer\nconcluded that, as of December 31, 2025, our disclosure controls and procedures were effective.\n\n \n\n**Management’s\nReport on Internal Control Over Financial Reporting**\n\n \n\nOur\nmanagement is responsible for establishing and maintaining adequate internal control over financial reporting as defined in Rules 13a-15(f)\nand 15d-15(f) under the Exchange Act. Under the supervision and with the participation of our management, including our Chief Executive\nOfficer and Chief Financial Officer, we conducted an evaluation of the effectiveness of our internal control over financial reporting\nbased on criteria established in the framework in “*Internal Control - Integrated Framework (2013)”*issued by the Committee\nof Sponsoring Organizations of the Treadway Commission (the “2013 COSO Framework”). Based on this evaluation, our management\nconcluded that our internal control over financial reporting was effective as of December 31, 2025.\n\n \n\nBecause\nof its inherent limitations, internal control over financial reporting may not prevent or detect misstatements. Projections of any evaluation\nof effectiveness to future periods are subject to the risk that controls may become inadequate because of changes in conditions, or that\nthe degree of compliance with the policies or procedures may deteriorate.\n\n \n\n**Changes\nin Internal Control Over Financial Reporting**\n\n \n\nThere\nwere no changes in our internal controls over financial reporting during the period covered by this Yearly Report that have materially\naffected, or are reasonably likely to materially affect, our internal control over financial reporting."}
