Other Events.**\n\n \n\nOn\nJune 30, 2026, Powerfleet, Inc. (the “Company”) issued a press release announcing that the Company’s board of directors\nhas authorized a stock repurchase program, pursuant to which the Company may repurchase, from time to time, up to an aggregate of $30\nmillion of the Company’s outstanding shares of common stock over the next 24 months. A copy of the press release is furnished as\nExhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.\n\n \n\nThe\nstock repurchase program provides the Company with flexibility to repurchase shares opportunistically as part of its broader capital\nallocation strategy.
