(now\nknown as Change Agents Corporation) (the “Company”) filed a Certificate of Amendment to its Amended and Restated Certificate\nof Incorporation, as amended (the “Charter Amendment”), with the Secretary of State of the State of Delaware to change the\nname of the Company from “Avalon GloboCare Corp.” to “Change Agents Corporation” effective as of July 20, 2026\n(the “Name Change”).\n\n \n\nPursuant to Delaware General Corporation Law\nSection 242(d)(1), no stockholder approval was required for the Charter Amendment because it only related to a name change. A copy of\nthe Charter Amendment is attached hereto as Exhibit 3.1 and is incorporated herein by reference.\n\n \n\nIn connection with the Name Change, the Company’s\ntrading symbol for its common stock is expected to commence trading on The Nasdaq Capital Market on July 22, 2026 under the symbol\n“CHGA” (the “Symbol Change”).\n\n \n\nNeither the Name Change, nor the Symbol Change,\naffects the rights of the Company’s stockholders, and no stockholders is required in connection with the Name Change or the Symbol\nChange.
