Submission of Matters to a Vote of Security Holders\n\nThe Annual Meeting of Stockholders (the “Annual Meeting”) of Andersen Group Inc. (the “Company”) was held on June 22, 2026 in a virtual meeting format. At the Annual Meeting, the Company’s stockholders voted on two proposals, each of which is described in more detail in the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 30, 2026. Only stockholders of record as of the close of business on April 23, 2026, the record date for the Annual Meeting, were entitled to vote at the Annual Meeting. As of the record date, there were 112,485,744 shares of common stock, consisting of 12,951,358 shares of Class A common stock (“Class A Common Stock”) and 99,534,386 shares of Class B common stock (“Class B Common Stock”) outstanding and entitled to vote at the Annual Meeting. In deciding all matters at the Annual Meeting, the holders of Class A Common Stock had the right to one vote for each share of Class A Common Stock they held as of the record date and the holders of Class B Common Stock had the right to 10 votes for each share of Class B Common Stock they held as of the record date.
