Financial Statements*,” which contains our consolidated financial statements prepared in accordance with\nU.S. GAAP.\n\n \n\n**Legal\nProceedings**\n\n** **\n\nFrom\ntime to time, we may become involved in various lawsuits and legal proceedings which arise in the ordinary course of business. However,\nlitigation is subject to inherent uncertainties and an adverse result in these or other matters may arise from time to time that may\nharm our business. We are currently not aware of any such legal proceedings that we believe will have a material adverse effect on our\nbusiness, financial condition or operating results.\n\n** **\n\n**Policy\non Dividend Distributions**\n\n** **\n\nOn\nJuly 31, 2023, our subsidiaries, Jeneric Engineering Pte. Ltd. and Jeneric International Pte. Ltd., approved the distribution of an interim\ndividend of S$1,000,000 (approximately $732,000) to Jeneric Holdings, their sole shareholder at the time. Such dividends were settled\nby offsetting against the amount due from Jeneric Holdings.\n\n \n\nOn\nJanuary 1, 2025, our subsidiaries, Jeneric Engineering Pte. Ltd., Jeneric International Pte. Ltd., Jeneric Offshore Pte. Ltd., Jeneric\nServices Pte. Ltd. and Jeneric Venture Pte. Ltd., approved the distribution of an interim dividend of S$2,592,688 (approximately US$1,897,848)\nto Jeneric Holdings, their sole shareholder at the time. Such dividends were settled by offsetting against the amount due from Jeneric\nHoldings.\n\n \n\nHowever,\nas of the date of this annual report, APEX Global has not declared, or paid cash dividends on the Class A Ordinary Shares. We currently\nhave no plan to declare or pay any dividends in the near future on the Class A Ordinary Shares, and intend to retain most, if not all,\nof our available funds and future earnings to operate and expand our business.\n\n \n\nAPEX\nGlobal’s board of directors has discretion as to whether to distribute dividends, subject to certain restrictions under British\nVirgin Islands law, namely that it may only pay dividends if its directors are satisfied, on reasonable grounds, that our company will,\nimmediately after the distribution, satisfy the solvency test, meaning that the value of our company’s assets exceeds its liabilities\nand that our company is able to pay its debts as they fall due. Even if the board of directors of APEX Global decides to pay dividends,\nthe form, frequency and amount will depend upon our future operations and earnings, capital requirements and surplus, general financial\ncondition, contractual restrictions and other factors that the board of directors may deem relevant.\n\n \n\nAPEX\nGlobal is a holding company, and it relies on dividends and other distributions on equity paid by its subsidiaries for APEX Global’s\ncash and financing requirements, including the funds necessary to pay dividends and other cash distributions to its shareholders and\nservice any debt it may incur. If our subsidiaries incur debt on their own behalf in the future, the instruments governing the debt may\nrestrict their ability to pay dividends or make other distributions to APEX Global.\n\n \n\n**8.B. Significant\nChanges**\n\n** **\n\nExcept\nas described above, no significant change has occurred since the date of our consolidated financial statements filed as part of this\nannual report."}
