(the “Company”).\n\nMr. Brackenbury is expected to enter into a standard indemnification agreement with the Company, as more fully described under the caption “Other Related Party Transactions and Relationships” on page 217 of the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2025, filed with the U.S. Securities and Exchange Commission on February 24, 2026 (the “Annual Report”). Mr. Brackenbury will also be eligible to receive director compensation from the Company as more fully described under the caption “Director Compensation” on pages 207 and 208 of the Annual Report.\n\nThere are no arrangements or understandings between Mr. Brackenbury and any person pursuant to which Mr. Brackenbury was selected as a director."}
