As part of the Realignment, the Company plans to reduce its workforce by approximately 20%. Impacted employees are eligible to receive severance benefits. These severance benefits are contingent upon an impacted employee’s execution (and non-revocation) of a severance agreement, which includes a general release of claims against the Company.\n\n## The total cash payments and costs related to the Realignment and reducing the workforce are estimated to be approximately $2.9 million to $3.2 million, with a significant majority of these amounts expected to be paid in the third quarter of 2026. These estimates are subject to a number of assumptions and actual results may differ. The Company may also incur additional costs not currently contemplated due to events that may occur as a result of, or that are associated with, the corporate restructuring."}
