The Merger Agreement provides for the combination of AvalonBay and Equity Residential in an all-stock merger-of-equals\ntransaction upon the terms and subject to the conditions set forth in the Merger Agreement (the “Merger”). The combined company\nwill operate under a new name to be announced prior to the closing of the Merger and the other transactions contemplated by the Merger\nAgreement (the “Closing”).\n\n \n\nOn June 8, 2026, AvalonBay and Equity Residential\nissued a joint press release announcing members of the executive leadership team for the combined company following the Closing.
