Under this Insider Trading\nPolicy, every Borqs employee, contractor, consultant, and board member is prohibited from trading in Borqs stock while in possession of\nmaterial nonpublic information about Borqs, and are prohibited from giving material nonpublic information about Borqs or others to anyone\nwho might trade on the basis of that information.\n\n \n\nThis policy applies to all\ntransactions in Borqs securities, including ordinary shares of Borqs, restricted stock units and stock options, however acquired, and\nany other type of securities that Borqs may issue, such as preferred stock, convertible notes, warrants, and exchange-traded options or\nother derivative securities.\n\n \n\nAll covered persons under\nthe policy are permitted to trade in Borqs securities only during the trading window period that begins after the close of trading on\nthe first full trading day following the widespread public release of our quarterly or year-end operating results, and ends at the close\nof trading on the twentieth calendar day in the third month of the then-current quarter.\n\n \n\nWhile in possession of material\nnonpublic information, even if a trading window is in effect, no covered person possessing material nonpublic information about Borqs\nmay trade in Company securities.
