(the “Company”) held its extraordinary general meeting (the “EGM”), at which the shareholders\nvoted on the proposal to amend and restate the Company’s amended and restated memorandum and articles of association to extend the\ndate by which it has to consummate a business combination for an additional twelve (12) months from June 16, 2026 to June 16, 2027\n(the “Charter Amendment Proposal”). For more information on the proposal, please refer to the definitive proxy statement filed\nby the Company with the Securities and Exchange Commission on April 28, 2026. The Company’s shareholders approved the Charter Amendment\nProposal at the EGM.\n\n \n\nFollowing the shareholder\napproval, the Company filed the Second Amended and Restated Memorandum and Articles of Association (the “Amended Charter”),\nwhich is effective as of May 19, 2026, with the Registrar of Corporate Affairs at the British Virgin Islands, under which the Company\nhas up to 24 months from its initial public offering (i.e., until June 16, 2027) to consummate an initial business combination. \n\n \n\nThe foregoing description\nof the Amended Charter is not complete and is subject to and qualified in its entirety by reference to the Second Amended and Restated\nMemorandum and Articles of Association, a copy of which is filed with this Current Report on Form 8-K as Exhibit 3.1, and the provisions\nof which are incorporated by reference herein."}
