(the “Company”) sold unregistered shares of the Company’s common stock (the “Shares”) for aggregate consideration of approximately $41.0 million.\n\nThe following table details the Shares sold:\n\n \n\nTitle of Securities\n \nNumber of Shares Sold\n \nAggregate Consideration(1)\n\nClass S-2 Shares\n \n2,845,626\n \n$41,044,521\n\n \n\n(1)\n\nAggregate consideration for Class S-2 Shares includes upfront selling commissions of approximately $234,551. The purchase price was equal to the net asset value per Class S-2 share as of April 30, 2026, plus applicable upfront selling commissions.
