Legal Proceedings. **\n\n \n\nFrom time to time, we are involved in various\nlegal proceedings arising from the normal course of business activities. Except for the proceeding below, the Company is not currently\na party to any other legal proceedings the outcome of which, if determined adversely to the Company, would individually or in the\naggregate have a material adverse effect on its business, financial condition, and results of operations.\n\n \n\nOn March 3, 2025, plaintiff Intersect\nTechnologies, LLC (“Intersect”) filed an amended complaint in the U.S. District Court in the District of Delaware\nagainst us alleging breach of contract and certain other causes of action against us related to the business of DrivenIQ and the\ntransfer of substantially all the assets of DrivenIQ to us in connection with the foreclosure sale. Intersect sought to recover\nits actual and punitive damages to the extent by law, which it alleged was in excess of $75,000. In February 2026, we entered\ninto settlement discussions with Intersect in connection with this matter. On May 18, 2026, the parties reached an agreement-in-principle\nsettling the matter, with our insurance carrier covering our settlement costs."}
