(the “Company”)\nreceived from the U.S. Department of the Interior, Bureau of Land Management (“BLM”) an effective Right-of-Way Grant (the\n“Grant”) issued pursuant to Title V of the Federal Land Policy and Management Act (“FLPMA”). The Grant authorizes\nthe conversion of the Company’s Northern Pipeline to water conveyance including construction, operation and maintenance of facilities\nlocated on BLM-administered lands crossed by the 220-mile pipeline.\n\n \n\nThe Company paid all required right-of-way rent\nand associated fees and delivered a performance and reclamation bond in the amount of approximately $2.5 million, satisfying the remaining\nrequirements for the Grant to become effective. The Company may now proceed with activities outlined in its Plan of Development for the\nNorthern Pipeline necessary to prepare for and complete construction.\n\n \n\nThe Grant was issued following the BLM’s\ncompletion of an Environmental Assessment pursuant to the National Environmental Policy Act (“NEPA”) and issuance of a Decision\nRecord and Finding of No Significant Impact (“FONSI”). In connection with its decision, the BLM also completed consultation\nand compliance under Section 106 of the National Historic Preservation Act (“NHPA”) and Section 7 of the Endangered Species\nAct (“ESA”).\n\n \n\nAcquired by the Company in 2021 from El Paso Natural\nGas, the Northern Pipeline extends across private, federal and other lands in San Bernardino and Kern Counties in southern California\nand has the capacity to deliver up to 25,000 acre-feet of water per year when converted to water conveyance.
