Business – OVERVIEW OF OUR COMPANY**\n\n \n\n**Our Company**\n\n \n\nCYBER ENVIRO-TECH, INC. (\"the Company\",\n\"CETI\") was founded in the State of Wyoming as Electronic Biotek, Inc in April 1986 (“Inception”).\n\n \n\nCyber Enviro-Tech, Inc is a water science technology\ncompany focusing on the remediation of contaminated industrial wastewater with an initial emphasis on the oil & gas industry. We\nare an emerging growth company with limited revenues and operating history. Our independent auditor has issued an audit opinion which\nincludes a statement expressing substantial doubt as to our ability to continue as a going concern. We owned an oil field in West Texas,\nwhich we identified as our pilot project. We owned the mineral rights to a 479 acre, 33-well, located in Callahan County, Texas.\nThis oil field operation was known as the Alvey oil field and it was spun-off into a new entity on October 14, 2025. The Alvey project\nwas shown as discontinued operation in the accompanying consolidated financial statements for the year ended December 31, 2024. In addition,\nthe Company is continuing the development and testing of its water filtration machine as well as looking to place its oil and soil remediation\nsystems in the Middle East and its water remediation systems in the meat packing industry and with municipalities.\n\n \n\nCETI is a 51% owner of CETI Axenic (“Axenic”).\nAxenic was formed in 2024 and focused on water remediation in the commercial laundry industry. Axenic shut down operations effective\nDecember 31, 2025.\n\n \n\n**GENERAL OVERVIEW**\n\n \n\n**Form and year of organization;**\n\nCyber Enviro-Tech, Inc., was founded in the State\nof Wyoming as Electronic Biotek, Inc in April 1986.\n\n** **\n\n**Bankruptcy, receivership;**\n\nThe Company has never filed Bankruptcy or been involved in any\nreceiverships or similar proceedings.\n\n \n\n**Material reclassification**; \n\nThe Company has been known by a variety\nof names since its inception in the State of Wyoming as Electronic Biotek, Inc. In 2020, CETI through its previous name, Globel Technologies,\nInc. (“Global”) acquired NexGen Holdings Corp via a reverse merger. Subsequent to the reverse merger, the Company changed\nits name to Cyber Enviro-Tech, Inc. Below lists the names that the Company has been known as since inception as well as the dates those\nnames were active:\n\n \n\nCyber Enviro-Tech, Inc - CURRENT.\n\nNexGen Holdings Corp - Until October 6, 2020\n\nWindPower Innovations, Inc. until January 2014\n\nEducational Services International, Inc. until November 2009\n\nBio-Life Systems, Inc. until November 2001\n\nBiolectronics, Corp. to April 1992\n\nElectronic Biotek, Inc April 1986\n\n \n\n**Business of Cyber Enviro-Tech, Inc.;**\n\nCyber Enviro-Tech, Inc is a water science technology\ncompany focusing on the remediation of contaminated industrial wastewater with an initial emphasis on the oil & gas industry. We\ndo this by integrating technologies to include cyber, aerospace, satellite, industrial and AI engineering telemetry. Our water filtration,\nwastewater and alternative energy systems will have neural sensors, controls and networks - all connected to a cellular device.\n\n \n\n \n\n1 \n\n \n\n \n\nOur pilot project was an oil field in West Texas.\nWe owned the mineral rights to a 479 acre, 33-well, located in Callahan County, Texas. In addition, the Company is continuing the development\nand testing of its water filtration machine as well as looking to place its oil and soil remediation systems in the Middle East and its\nwater remediation systems in the meat packing industry and with municipalities.\n\n \n\nOur focus for the current fiscal year will be on\nwater/oil remediation as opposed to oil production and we will focus on developing and expanding our water and oil/soil remediation technologies\nboth domestic and foreign.\n\n \n\nSales Strategy – CETI’s B2B Sales Strategy\nincludes partnering with individuals and companies who have many years of experience and developed relationships within their respective\ntargeted vertical markets. Prior knowledge of those specific industry issues, water filtration needs, history and relationships developed\nover many years will enable them to shorten the sales cycle for our water filtration system.\n\n \n\nMarket Demand and Size - CETI’s water filtration\nsystem can be modified to address many of the water contamination issues that exists worldwide. The markets envisioned for the CETI water\nfiltration system, when funds permit, would be both domestic (U.S.) and global.\n\n \n\n**Government Regulation**\n\n \n\nWe are subject to government regulations that regulate\nbusinesses generally, such as compliance with regulatory requirements of federal, state, and local agencies and authorities, including\nregulations concerning workplace safety and labor relations. In addition, our operations are affected by federal and state laws relating\nto marketing practices in the oil industry and/or expansion of operations; a change to or changes to government regulations; a general\neconomic slowdown; a significant decrease in the price of West Texas Intermediate crude. Any change in one or more of these factors could\nreduce our ability to earn and grow revenue in future periods.\n\n \n\n**Research and Development**\n\n \n\nFor the years ending December 31, 2025 and 2024,\nwe spent approximately $396k and $1.5 million in research and development of our oil/water filtration products and process, respectively.\nIn addition, from 2021 through December 31, 2024, approximately $3.4 million was invested in the Alvey Ranch Oil field to test our new\ntechnologies in opening up the downhole fractures and removing contaminants from the reservoir for increased oil production. The former\nhas been expensed and the latter capitalized. Effective October 14, 2025, the Alvey oil field was spun off into a separate company as\nthe Company intends to focus its efforts on water and oil/soil remediation.\n\n \n\n**Personnel**\n\n \n\nAs of December 31, 2025, we have no employees but\nthe Company does have 7 full-time and part-time consultants."}
