Certain Relationships\nand Related Transactions, and Director Independence**\n\n \n\nAt December 31, 2025 and 2024, the Company had a\nconvertible note payable for $22,000 with a related party. The note is unsecured, non-interest bearing and is convertible into shares\nof common stock at $0.001.\n\n \n\nIn September 2023, a related party loaned $153,989\nto CETI. The loan is currently due and has interest only payments at 12.5%. The first six months interest was paid and is being amortized\nover the six-month period of time. This note is currently in default.\n\n \n\nDuring the years ended December 31, 2025 and 2024,\nthe Company paid various related parties for consulting services in the amounts of $421,510 and $409,850 respectively. For the years\nended December 31, 2025 and 2024, nil and $30,000, respectively, of the consulting fees were capitalized in property and equipment under\nwell development costs.\n\n \n\n**Director Independence**\n\n \n\nWe are not currently a “listed company”\nunder SEC rules and are therefore not required to have a Board comprised of a majority of independent directors or separate committees\ncomprised of independent directors. We currently do not have any independent directors as the term “independent” is defined\nby the rules of the Nasdaq Stock Market."}
