Certain Relationships and Related Transactions, and Director Independence.**\n\n \n\n**Director\nIndependence**\n\n \n\nWe\nhave five members of our Board of Directors, of which three members qualify as “independent” under the listing rules of the\nNasdaq.\n\n \n\n103\n\n \n\n \n\n**Review\nof Related Person Transactions**\n\n \n\nOur\nCode of Business Conduct and Ethics provides guidance for addressing actual or potential conflicts of interests, including those that\nmay arise from transactions and relationships between us and our executive officers or directors, such as:\n\n \n\n \n●\nBusiness\ntransaction between the company and any executive are prohibited, unless otherwise approved by the Board;\n\n \n●\nActivities\nthat may interfere with an executive’s performance in carrying out company responsibilities;\n\n \n●\nActivities\nthat call for the use of the company’s influence, resources or facilities; and\n\n \n●\nActivities\nthat may discredit the name or reputation of the company.\n\n \n\nWe\nhave various procedures in place to identify potential related person transactions, and the Board of Directors and a separate compliance\ncommittee work together in reviewing and considering whether any identified transactions or relationships are covered by the Code of\nBusiness Conduct and Ethics.\n\n \n\n**Transactions\nwith Related Persons**\n\n \n\nPlease\nsee note 10 in the notes to the financial statement for a discussion on transactions with related parties."}
