Nasdaq rules include various corporate governance requirements\napplicable to listed securities. While all Nasdaq-listed companies are subject to certain of these corporate governance requirements,\nforeign private issuers such as our company are exempt from other corporate governance requirements if the laws of their home jurisdiction\ndo not otherwise require compliance. Since our home jurisdiction does not mandate compliance with some of these Nasdaq rules, we have\nopted out of compliance with them.
