Regulation FD Disclosure.**\n\n \n\nThe disclosure set forth above under Item 2.02\nof this Current Report on Form 8-K is incorporated by reference herein.\n\n \n\nAs previously reported, on\nOctober 30, 2025, the Company and its debtor affiliates (collectively, the “**Debtors**”) each commenced with\nthe United States Bankruptcy Court for the Southern District of Texas (the “**Bankruptcy Court**”) a voluntary case\n(collectively, the “**Chapter 11 Cases**”) under chapter 11 of title 11 of the United States Code (the “**Bankruptcy\nCode**”). The Chapter 11 Cases are jointly administered under the caption *In re Office Properties Income Trust*, et\nal., Case No. 25-90530.\n\n \n\n*Monthly Operating Reports*\n\n \n\nOn May 29, 2026, the Debtors\nfiled their Monthly Operating Reports (the “**MORs**”) with the Bankruptcy Court. The MORs provide financial and\noperational information regarding the Company’s performance during the period of April 1, 2026 through April 30, 2026. The Debtors\ncontinue to operate their businesses and manage their properties as debtors-in-possession under the jurisdiction of the Bankruptcy Court\nand in accordance with the applicable provisions of the Bankruptcy Code and orders of the Bankruptcy Court.\n\n \n\nThe Company’s MOR is\nattached as Exhibit 99.2.
