Effective June 22, 2026, the Company amended and restated its bylaws (the “Bylaws”). As\ndescribed in the final prospectus, dated June 17, 2026 (the “Prospectus”), relating to the Company’s Registration Statement on Form S-1 (File No. 333-296151),\nas amended, filed with the Securities and Exchange Commission on June 18, 2026, pursuant to Rule 424(b) under the Securities Act of 1933, the Company’s board of directors previously approved the articles of amendment to the Articles of\nIncorporation (the “Articles of Amendment”) and the amendment and restatement of the Bylaws, in each case to be effective prior to the closing of the Company’s\ninitial public offering.
