Cybersecurity.\n\n \n\nRisk Management and Strategy \n\nAs of July 31, 2025, the Company remained a shell company with no active\noperating business and no internal information-technology department. Management’s\nprocesses for assessing, identifying, and managing material risks from cybersecurity threats were therefore limited and primarily consisted\nof basic access controls, use of third-party service providers for accounting, legal, and filing functions, and management oversight of\ncritical records and devices. The Company was not aware of any cybersecurity incident during fiscal 2025 that materially affected, or\nwas reasonably likely to materially affect, the Company’s business\nstrategy, results of operations, or financial condition.\n\n \n\nGovernance \n\nThe board of directors oversees the Company’s\nmaterial business risks, including cybersecurity risk. Given the Company’s\nlimited size and resources, the board has not established a separate cybersecurity committee. Day-to-day responsibility for cybersecurity-related\nmatters resides with management, including the principal executive officer and principal financial officer, who coordinate with outside\nservice providers as needed. The Company expects to reassess its cybersecurity governance structure if and when it acquires or develops\nan operating business."}
