Legal Proceedings.\n\nWe may from time to time be a party to legal proceedings which arise in the ordinary course of our business. See Note 12 \"Commitments and Contingencies\" of the notes to the consolidated financial statements included as part of this Annual Report on Form 10-K for a discussion of legal proceedings and governmental authority inquiries that were ongoing during the year ended December 31, 2025. As disclosed in Note 14 \"Subsequent Events,\" in January 2026, a receiver was appointed over the El Paso Property in connection with the default on the mortgage loan secured by that property. The Company is cooperating with the receiver and evaluating its options with respect to the property. Other than the foregoing, management is not aware of any current or pending legal proceedings to which we or any of our subsidiaries are a party or to which any of our property is subject, the outcome of which would, in management's judgment based on information currently available, have a material adverse effect on our results of operations or financial condition, nor is management\n\n40\n\n[Table of Contents](#TOC)\n\naware of any such legal proceedings contemplated by governmental authorities."}
