At the Special Meeting, the Company submitted one proposal\nto the vote of the shareholders, which is described in detail in the Company’s proxy statement dated April 16, 2026. As of\nApril 15, 2026, the record date for the Special Meeting, 12,973,271 common shares of beneficial interest were eligible to be voted.\n\n \n\nOn June 16, 2026, the proposals were submitted to the vote of\nthe shareholders. Of the shares eligible to be voted, 10,314,546 were voted in person or by proxy in connection with the proposals.\n\n \n\nThe proposal submitted to a vote of the shareholders of the Company\nat the Special Meeting was approved as follows:\n\n \n\n**Proposal 1: Approval of the New Investment Advisory Agreement**\n\n \n\nThe proposal to approve a new investment advisory agreement between\nthe Company and Stellus Private BDC Advisor, LLC was approved.
