The June 2026 distributions will be paid in cash or reinvested in the Class I Common Shares, Class S Common Shares, or Class D Common Shares, as applicable, for shareholders participating in the Fund’s distribution reinvestment plan. The net distribution received by shareholders of the Class S and Class D Common Shares will be equal to the gross distribution in the table above, less the shareholder servicing and/or distribution fees applicable to such Class S and Class D Common Shares as of the record date. Class I Common Shares have no shareholder servicing and/or distribution fees.\n\n \n\nNet Asset Value\n\nThe net asset value (“NAV”) per share of each outstanding class of the Fund as of May 31, 2026, as determined in accordance with the Fund’s valuation policy, is set forth below:\n\n \n\n \n\nNAV per share as of May 31, 2026\n\n \n\nClass I Common Shares\n\n \n\n$\n\n26.32\n\n \n\nClass S Common Shares\n\n \n\n \n\n26.32\n\n \n\nClass D Common Shares\n\n \n\n \n\n26.32\n\n \n\n \n\nAs of May 31, 2026, the Fund’s aggregate NAV was approximately $549.0 million, the fair value of its portfolio investments was approximately $954.6 million and it had principal debt outstanding of $430.6 million, resulting in a debt to equity ratio of approximately 0.78x.\n\n \n\nStatus of Offering\n\nThe Fund is currently publicly offering on a continuous basis of up to $3.0 billion in shares of the Fund’s common stock, par value $0.01 per share (the “Common Shares”), including shares of the Fund’s Class I Common Shares, Class S Common Shares, and Class D Common Shares of common stock, pursuant to a registered offering (the “Registered Offering”).\n\n \n\nAdditionally, the Fund has sold unregistered shares as part of private offerings (the “Private Placements”) that were exempt from the registration provisions of the Securities Act of 1933, as amended, pursuant to Section 4(a)(2) thereof and/or Rule 506(b) or Regulation S promulgated thereunder.\n\n \n\nThe following table lists the Common Shares issued and total consideration for both the Registered Offering and the Private Placements as of the date of this filing. The table below does not include Common Shares issued through the Fund’s distribution reinvestment plan.
