Mr. Szubanski will continue to serve as the President of the Company.\n\n \n\nConcurrently, effective July 3, 2026, Varinia-Rebecca\nUndine Marie-Anne Koenig resigned from her position as the Secretary of the Company. Ms. Koenig will continue to serve as a member of\nthe Company’s Board of Directors.\n\n \n\n(c) Appointment of Certain Officers\n\nEffective July 3, 2026, the Board of Directors\nappointed Radek Chovanec, age 31, to serve as the Company's Secretary, Treasurer, Principal Executive Officer, Principal Financial Officer\nand Principal Accounting Officer.\n\n \n\nSince March 8, 2022, and up to the present\ndate, Mr. Chovanec has served as the Executive Director of M.B. Trade s.r.o., a business entity registered in the Czech Republic, where\nhe oversees corporate operations and strategic development. Mr. Chovanec completed his higher education in the Czech Republic, earning\nhis degree in Marketing Communications from the Faculty of Multimedia Communications at Tomas Bata University in Zlin.\n\n \n\nThere are no family relationships between\nMr. Chovanec and any director or executive officer of the Company. There are no transactions to which the Company is a party and in which\nMr. Chovanec has a material interest under Item 404(a) of Regulation S-K. There are no arrangements or understandings between Mr. Chovanec\nand any other person pursuant to which Mr. Chovanec was appointed as an officer of the Company.\n\n \n\n(d) Election of Directors\n\n \n\nEffective July 3, 2026, the Board of Directors\nelected Radek Chovanec to serve as a Director of the Company. Mr. Chovanec will serve as a Director until the next annual meeting of stockholders\nand until his successor is duly elected and qualified.\n\n \n\nThe Board of Directors elected Mr. Chovanec\nto serve as a director due to his professional expertise in marketing communications and strategic development.
