(the “*Company*”) filed a Certificate of Amendment to its Articles of Incorporation with the\nNevada Secretary of State to increase the number of authorized shares of the Company’s common stock. The amendment increased the\nCompany’s authorized shares of common stock from 2,000,000,000 shares to 5,000,000,000 shares, par value $0.00001 per share.\n\n \n\nThe\nincrease in authorized shares was previously approved by the Company’s board of directors and by the holders of a majority of the\nCompany’s outstanding voting power through written consent on April 14, 2026.
