Unregistered Sales of Equity Securities and Use of Proceeds.\n\n \n\nOn September 26, 2025, we consummated the Initial\nPublic Offering of 50,000,000 Units at $10.00 per Unit, generating proceeds of $500,000,000. Cantor Fitzgerald & Co. acted as sole\nbook-running manager of the Initial Public Offering. The securities in the offering were registered under the Securities Act on registration\nstatement on Form S-1 (No. 333-288791). The registration statement was declared effective on September 24, 2025.\n\n \n\nSimultaneous with the consummation of the Initial\nPublic Offering, we consummated the private placement with the sponsor and Cantor of 1,200,000 Private Placement Units at a price of $10.00\nper unit, generating total proceeds of $12,000,000. Each Private Placement Unit consists of one ordinary share and one right to receive\none-tenth (1/10) of one ordinary share upon the consummation of an initial business combination. The proceeds from the sale of the Private\nPlacement Units were added to the net proceeds from the Initial Public Offering held in the trust account. The issuance was made pursuant\nto the exemption from registration contained in Section 4(a)(2) of the Securities Act.\n\n \n\nWe paid a total of $ 28,357,609, consisting of\n$10,000,000 of cash underwriting fee, $17,500,000 of deferred underwriting fee, and $857,609 of other offering costs and expenses related\nto the Initial Public Offering.\n\n \n\nFor a description of the use of the proceeds generated\nin our Initial Public Offering, see Part I, Item 2 of this report."}
