(the “Company”) held its 2026 annual meeting of shareholders (the “Annual Meeting”), at which the shareholders of the Company considered and acted upon three proposals: (1) to elect six directors for a one-year term expiring in 2027; (2) to hold an advisory vote on executive compensation; and (3) to ratify the appointment of Ernst & Young LLP by the Audit Committee of the Board of Directors as the Company’s independent registered public accounting firm for the Company’s 2026 fiscal year.
