The lease was reviewed and approved by the independent and non-conflict members\nof the Board of Directors. The monthly rent is $34,917 was determined with reference to prevailing market rates for comparable\ncommercial properties and represents, in management’s assessment, a fair market rate for the premises. The lease provides for\na rent-free period from August 1, 2025, to December 31, 2025 to allow for renovation and interior decoration of the premise.\nAccordingly, no rental payments were made during this rent-free period.\n\n \n\nThe clubhouse is currently undergoing renovation and interior decoration.\nAs of December 31, 2025, the property was not yet ready for use and had not commenced operations. The up-front payment of $524,199 is\nrecognized as construction in progress as of December 31, 2025.
