The Notes mature on July 1, 2034 and bear interest at a rate of 7.125% per year.\nInterest on the Notes is payable on January 1 and July 1 of each year, beginning on January 1, 2027.\n\n \n\nAt any time prior to July 1, 2029, the Issuer\nmay redeem some or all of the Notes at a redemption price equal to 100% of the aggregate principal amount of the Notes to be redeemed,\nplus accrued and unpaid interest to (but not including) the redemption date, plus a “make-whole” premium, as described in\nthe Indenture. At any time prior to July 1, 2029, the Issuer may also redeem up to 10% of the aggregate principal amount of the Notes\nduring any twelve-month period at a redemption price equal to 103.0% of the principal amount of the Notes to be redeemed, plus accrued\nand unpaid interest to (but not including) the redemption date. On or after July 1, 2029, the Issuer may redeem some or all of the Notes\nat the redemption prices set forth in the Indenture, plus accrued and unpaid interest to (but not including) the redemption date. In addition,\nat any time prior to July 1, 2029, the Issuer may redeem up to an aggregate of 40% of the principal amount of the Notes with the net cash\nproceeds of certain equity offerings at a redemption price equal to 107.125% of the principal amount of the Notes to be redeemed, plus\naccrued and unpaid interest to (but not including) the redemption date. If certain changes of control of the Issuer occur, holders of\nthe Notes will have the right to require the Issuer to offer to repurchase their Notes at 101% of the principal amount thereof, plus accrued\nand unpaid interest, if any, to (but not including) the repurchase date.\n\n \n\nThe Notes are not guaranteed by any subsidiary\nof the Issuer as of the Issue Date and will be jointly and severally guaranteed on a senior secured second lien basis by each of the Issuer’s\ncurrent and future domestic subsidiaries to the extent such subsidiary guarantees any first-priority lien obligations, subject to permitted\nliens and certain exceptions (the “Collateral”).\n\n \n\nThe Notes are the Issuer’s senior secured\nobligations and the Notes rank, and any future related guarantees will rank, (i) equal in right of payment with all existing and future\nsenior indebtedness of the Issuer and any future guarantor and (ii) senior in right of payment to all future subordinated indebtedness\nof the Issuer and any future guarantor. The Notes and any future related guarantees will be secured on a second-priority basis by liens\non substantially all of the Issuer’s and any future guarantor’s assets that constitute the Collateral. The liens securing\nthe Notes and any future related guarantees will be (i) pari passu in priority with the security interest securing the Issuer’s\n9.000% Senior Secured Second Lien Notes due 2028, 8.625% Senior Secured Second Lien Notes due 2032 and 8.000% Senior Secured Second Lien\nNotes due 2033 and (ii) junior in priority to the security interest securing indebtedness under the Issuer’s senior secured asset-based\nrevolving credit facility. In addition, the Notes and any future related guarantees will be (i) effectively senior to the Issuer’s\nand any future guarantor’s existing and future indebtedness that is unsecured or that is secured by junior liens, in each case,\nto the extent of the value of the Collateral, (ii) structurally subordinated to all existing and future indebtedness, preferred stock\nand other liabilities of any of the Issuer’s subsidiaries that do not guarantee the Notes and (iii) effectively junior to any of\nthe Issuer’s and any future guarantor’s existing and future indebtedness that is secured by assets that do not constitute\nCollateral, to the extent of the value of such assets.\n\n \n\nThe Indenture contains customary high yield covenants\nlimiting the ability of the Issuer to, among other things, (i) incur additional debt; (ii) pay dividends and make other restricted payments;\n(iii) incur liens on assets; (iv) enter into certain transactions with affiliates; (v) merge or consolidate or sell all or substantially\nall of its assets; (vi) sell certain assets, including capital stock of subsidiaries; and (vii) create certain restrictions on the ability\nof restricted subsidiaries to pay dividends or make other payments to the Issuer. These covenants are subject to a number of important\nand significant limitations, qualifications and exceptions. The Indenture also contains customary events of default subject in certain\ncases to customary grace and cure periods.\n\n \n\nThe foregoing summary of the Indenture is not\ncomplete and is qualified in its entirety by reference to the Indenture and the form of Note included therein, which are filed herewith\nas Exhibits 4.1 and 4.2, respectively, and incorporated herein by reference."}
