Departure of Directors\nor Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.**\n\n \n\n*Election of Bina Mehta as Director*\n\n \n\nOn and effective as of July 16, 2026, on recommendation\nof the Nominating and Governance Committee of the Board of Directors (the “Board”) of ExlService Holdings, Inc. (the “Company”),\nthe Board has elected Bina Mehta to serve as a director on the Board until her successor is duly elected and qualified or her earlier\ndeath, disability, resignation or removal. Concurrent with her election as director, Ms. Mehta was appointed to the Board’s Audit\nCommittee and its Compensation and Talent Management Committee.\n\n \n\nMs. Mehta has been determined to be an independent\ndirector under rules and regulations of the Securities and Exchange Commission (the “SEC”) and the listing requirements of\nThe Nasdaq Stock Market LLC. There are no arrangements or understandings between Ms. Mehta and any other persons pursuant to which she\nwas selected as a director. Additionally, there are no transactions involving the Company and Ms. Mehta that the Company would be required\nto report pursuant to Item 404(a) of Regulation S-K.
