(the “Company”), and the Chair of the Audit\nCommittee of the Board and a member of the Compensation Committee of the Board and the Nominating and Corporate Governance Committee of\nthe Board (the “NCG Committee”), notified the Board of his intention to resign as a director of the Company, effective as\nof September 30, 2026. Mr. Natan’s resignation is not the result of any disagreement with the Company on any matter relating to\nthe Company’s operations, policies or practices.\n\n \n\nThe NCG Committee has commenced\na search to identify a successor director.
