(“the Company”)\nissued a press release announcing the launch of a private offering, subject to market and other customary conditions, of $600 million\nin aggregate principal amount of senior notes due 2031 (the “Notes”). A copy of the press release is attached hereto as Exhibit\n99.1, which is incorporated herein by reference.\n\n \n\nThe Company intends to use the net proceeds from this offering to fund\nthe cash consideration payable in connection with its previously announced acquisition of Kiavi, Inc. (the “Kiavi Acquisition”),\nfor general corporate purposes and to pay fees and expenses related to this offering. The completion of this offering is not conditioned\non the completion of the Kiavi Acquisition.
