The Charter, among other\nthings, provides that the Company’s authorized capital stock consists of 1,200,000,000 shares of Class A Common Stock, 300,000,000\nshares of Class B common stock, par value $0.0001 per share (the “Class B Common Stock”) and 250,000,000 shares\nof preferred stock.
