Departure of Directors or Certain\nOfficers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.**\n\n** **\n\nOn September 8, 2026, Shalom Hirschman and Riad\nEl-Dada each resigned as member of Greenland Mines Ltd.’s (the “Company”) Board of Directors. Neither Director’s\nresignation was as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or\npractices.\n\n \n\nAlso on September 8, 2026, the Company’s\nBoard of Directors (the “Board”) appointed Jason Hawkins to serve as a member of the Board, effective immediately, to fill\na vacancy on the Board. Mr. Hawkins will serve until the Company’s next annual meeting of stockholders and until his successor\nis duly elected and qualified or until his earlier resignation or removal.\n\n \n\nMr. Hawkins has not been appointed to serve\non any committees of the Board at this time.\n\n \n\nMr. Hawkins does not have any family relationship\nwith any of the executive officers or directors of the Company and is not a party to any transaction required to be disclosed pursuant\nto Item 404(a) of Regulation S-K.\n\n \n\nMr. Hawkins has not entered into any agreement\nwith the Company in connection with his appointment as a director.\n\n \n\nBiography\n- Jason Hawkins has over 25 years of capital markets experience in both investment and merchant banking. Mr. Hawkins began his career\nas a technology and telecom investment banker before starting his own Exempt Market Dealer, Pelorus Capital. Over the course of his career\nMr. Hawkins has raised seed to late stage financing for companies in the mining, oil and gas, technology and healthcare sectors with\na focus on technologies and companies in the precious metals and critical minerals space. Jason is the Chairman and CEO of Intrusion\nPrecious Metals Corp., the predeccesor and significant minority shareholder of Greenland Mines. Mr. Hawkins holds a B.Com (Honours) from\nQueen’s University."}
