Entry into a Material Definitive Agreement.\n\nAmendment to the Trust Agreement\n\nOn June 25, 2026, Grayscale Investments Sponsors, LLC (the “Sponsor”), as sponsor of Grayscale Solana Staking ETF (the “Trust”), and CSC Delaware Trust Company, the trustee (the “Trustee”) of the Trust, entered into Amendment No. 3 (the “Amendment No. 3”) to the Second Amended and Restated Declaration of Trust and Trust Agreement (the “Trust Agreement”). The Trust Agreement was originally dated September 19, 2025 and was previously amended by Amendment No. 1 to the Second Amended and Restated Declaration of Trust and Trust Agreement, dated October 27, 2025, and Amendment No. 2 to the Second Amended and Restated Declaration of Trust and Trust Agreement, dated January 2, 2026.\n\nAmendment No. 3 reduces the annual Sponsor’s Fee from 0.35% to 0.19% of the aggregate value of the Trust’s assets, effective as of June 25, 2026.\n\nThe foregoing description of Amendment No. 3 does not purport to be complete and is qualified in its entirety by reference to the full text of Amendment No. 3, a copy of which is attached hereto as Exhibit 4.1 and is incorporated herein by reference."}
