(the “Company”)\nof his resignation from his positions as Chairman of the Board and Interim President of the Company, effective as of May 28, 2026. In\nconnection with his transition, the Board unanimously approved the conferral of the honorary title Chairman Emeritus in recognition of\nMr. Wright’s long-standing leadership and foundational contributions to the Company. The role of Chairman Emeritus is not a Board\nposition and does not carry a vote.\n\n \n\nMr.\nWright’s retirement announcement and resignation were not the result of any disagreement with the Company on any matter relating\nto its operations, policies, or practices.
