(the “Company”) entered into a purchase agreement (the “Purchase Agreement”) with Morgan Stanley & Co. LLC, Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC, as representatives of the several purchasers named therein (collectively, the “Initial Purchasers”), relating to the sale by the Company of an aggregate of $350.0 million principal amount of 0.00% Convertible Senior Notes due 2032 (the “Notes”) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company also granted to the Initial Purchasers an option to purchase an additional $52.5 million aggregate principal amount of Notes within a period of 13 days from, and including, the date the Notes are first issued (the “Notes Option”), which was exercised in full on May 19, 2026. Pursuant to the terms of the Purchase Agreement, the parties have agreed to indemnify each other against certain liabilities, including certain liabilities under the Securities Act."}
