(the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”). The proposals considered at the Annual Meeting are described in detail in the Company’s 2026 definitive proxy statement filed with the U.S. Securities and Exchange Commission on April 22, 2026 (the “Proxy Statement”). As of April 7, 2026, the record date for the Annual Meeting, there were approximately 26,031,227 shares of common stock outstanding and entitled to vote at the Annual Meeting. Present at the Annual Meeting in person, by remote communication or by proxy were holders of 16,887,256 shares of the Company’s common stock, representing a majority in voting power of the Company’s issued and outstanding shares entitled to vote as of April 7, 2026, and constituting a quorum under the Company’s Bylaws.
