The Leibovich Rule 10b5-1 Plan provides for the potential sale (beginning on August 18,\n2025) of 399,500 shares of the Company’s Common Stock. The Leibovich Rule 10b5-1 Plan expires on August 18, 2027, or upon the earlier\ncompletion of all the transactions authorized thereunder.\n\n \n\nOn August 18, 2025, Lavell Juan Malloy, II, our\nChief Executive Officer, entered into a Rule 10b5-1 Plan intended to satisfy the affirmative defense of Rule 10b5-1(c) under the Exchange\nAct (the “Malloy 10b5-1 Plan”). The Malloy Rule 10b5-1 Plan provides for the potential sale (beginning on August 18, 2025)\nof 574,989 shares of the Company’s Common Stock.
