(the “Company”) has entered into a Merger Agreement, dated as of October 12, 2025, by and among the Company,\nBrag House Merger Sub, Inc., a Delaware corporation (“Merger Sub”), and House of Doge Inc., a Texas corporation (“House\nof Doge”), as amended pursuant to Amendment No. 1 thereto dated as of November 26, 2025, Amendment No 2. thereto dated\nas of February 2, 2026, and Amendment No. 3 thereto dated as of March 26, 2026 (the “Merger Agreement”), pursuant\nto which, among other things, Merger Sub will merge with and into House of Doge (the “Merger”), with House of Doge\nsurviving the Merger as a wholly owned subsidiary of the Company.\n\n \n\nOn May 11, 2026, the parties entered into Amendment\nNo. 4 to the Merger Agreement (the “Amendment”).
