Based upon their evaluation,\nour Chief Executive Officer and Chief Financial Officer concluded that as of May 31, 2026, our disclosure controls and procedures (as\ndefined in Rules 13a-15 (e) and 15d-15 (e) under the Exchange Act) were effective.\n\n* *\n\n*Management’s\nAnnual Report on Internal Controls Over Financial Reporting*\n\n \n\nManagement\nis responsible for establishing and maintaining adequate internal control over financial reporting, and for performing an assessment of\nthe effectiveness of internal control over financial reporting as of May 31, 2026. Internal control over financial reporting is a process\ndesigned to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements\nfor external purposes in accordance with U.S. GAAP.
