EXECUTIVE COMPENSATION\n\n \n\nEmployment\nAgreements\n\n \n\nOn\nFebruary 8, 2021, the Company entered into an agreement with Vishwas Joshi to act as Chief Finance Officer of the Company for a period\nof twenty-four months from the date of listing of the Company on NASDAQ. The Company has agreed to pay Mr. Joshi up to $400,000, subject\nto the Company successfully completing a Business Combination. If the Company does not complete a Business Combination within the Combination\nPeriod, the Company has agreed to pay Mr. Joshi $40,000. On July 21, 2023, the Company extended the tenure of the agreement from July\n27, 2023 to September 30, 2023 with no further extension. The Company accrued $40,000 service fees as of September 30, 2023. On November\n9, 2023, the Company entered into an agreement with Mr. Joshi, whereby Mr. Joshi agreed to receive 36,000 shares of common stock of the\npost-Business Combination company in full and final satisfaction of all obligations owed to Mr. Joshi by the Company. The payment will\nbe made concurrently with the closing of the Business Combination. The Company accrued $360,000 service fees as of March 31, 2026.\n\n \n\nExecutive\nOfficers and Director Compensation\n\n \n\nOther\nthan as disclosed, no executive officer has received any cash compensation for services rendered to us. Other than as disclosed with\nregard to Mr. Joshi, no compensation of any kind, including finders, consulting or other similar fees, will be paid to any of our existing\nstockholders, including our directors, or any of their respective affiliates, prior to, or for any services they render in order to effectuate,\nthe consummation of a business combination. However, such individuals will be reimbursed for any out-of-pocket expenses incurred in connection\nwith activities on our behalf such as identifying potential target businesses and performing due diligence on suitable business combinations.\nThere is no limit on the amount of these out-of-pocket expenses and there will be no review of the reasonableness of the expenses by\nanyone other than our board of directors and audit committee, which includes persons who may seek reimbursement, or a court of competent\njurisdiction if such reimbursement is challenged.\n\n \n\nCompensation\nCommittee Interlocks and Insider Participation\n\n \n\nNone\nof our officers currently serves, or in the past year has served, as a member of the compensation committee of any entity that has one\nor more officers serving on our board of directors."}
